  1. Quotations are valid for 30 days.
  2. Services ("The Service") will be undertaken only as described in and subject to the terms of an initial written instruction incorporating these terms and conditions - which shall apply in any event to any services that we supply including any services that are additional to the initial instruction and quotation.
  3. All services supplied outside any agreed quotation are chargeable at our standard rates prevailing for the time being.
  4. All out of pocket disbursements are chargeable at cost. We reserve the right to require payment(s) from time to time in advance on account of anticipated fees and expenses.
  5. Local taxes (including VAT) are chargeable in addition to our fees and expenses where applicable.
  6. We will invoice monthly. Invoices are payable 14 days from date. Interest is payable at 4% over Lloyds TSB UK Base Rate on late payment. We reserve the right to suspend and/or to terminate The Services at any time following default in payment. We will have a lien on all documents produced to us until payment.
  7. We will not be liable for any delay in or failure to supply The Services arising from any matter outside our reasonable control.
  8. We will do our best to keep to any timetable agreed but time shall not be of the essence of this contract.
  9. You undertake to disclose all material information to enable us to carry out The Services and to identify any actual or potential conflict of interest.
  10. You will indemnify us against all claims, liability, costs or expenses we may attract or incur by carrying out The Services or as a result of your instructions or that may arise by your use of our report(s). This excludes claims resulting from our negligence and breach of applicable law.
  11. All information, documents, records and reports produced by us will remain our property until we are paid in full whereupon they will become your property. The copyright in all such material shall remain our property at all times prior to payment.
  12. Save where disclosure is necessary for the purposes of delivering The Services or where required by law or where it is already otherwise in the public domain, we will keep confidential any information you supply to us save that you may authorise us to disclose for the purposes of marketing our services to others the fact that you are a client of this company.
  13. We may engage experts or other sub-contractors to assist us in carrying out The Services on your behalf.
  14. These terms and the document in which they are incorporated constitute the whole of the agreement between us and supersede and replace any earlier terms whether verbal or written. Should any single phrase or term be deemed to be unenforceable by a court of competent jurisdiction then the remaining terms shall continue to have binding effect. No other variation of these terms shall take effect unless they are set out in writing and signed by all of the parties.
  15. Our contract is governed by the law of England & Wales. You agree to submit to the jurisdiction of the English Courts or (at our option) to the resolution of disputes arising from this agreement by a single Arbitrator to be appointed by or on behalf of the President of the Chartered Institute of Arbitrators in London applying English procedural and substantive law.
